Merger by Absorption of Universal Comfort Products Limited into and with Voltas Limited We take reference to our letters dated 27th September, 2019 and 18th October, 2019 informing about the Scheme of Merger by Absorption of a wholly-owned subsidiary - Universal Comfort Products Limited (Transferor company) with Voltas Limited (Transferee company) pursuant to Sections 230 to 232 and other applicable provisions of the Companies Act, 2013. 2. In compliance with Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015, we wish to inform you that the National Company Law Tribunal (NCLT), Mumbai Bench has by its Order pronounced on 11th September, 2020 sanctioned the Scheme of Merger by Absorption of Universal Comfort Products Limited with Voltas Limited. Certified copy of the Order from the NCLT, Mumbai for the same is awaited. (As Per BSE Announcement dated on 11.09.2020) We wish to inform that the Company has on 3rd November, 2020 received Certified Tue Copy of the Order passed by the National Company Law Tribunal (NCL T), Mumbai Bench, dated 11th September 2020. A scanned copy of Certified True Copy of the Order along with the Scheme is enclosed herewith for your records. (As Per BSE Announcement dated on 03.11.2020) Further to our letters dated 11th September, 2020 and 3rd November, 2020, we wish to inform that the Transferee company - Voltas Limited and Transferor company - Universal Comfort Products Limited (a wholly owned subsidiary of Voltas) involved in the Scheme of Merger by Absorption have filed the Certified True Copy of the Order passed by NCLT, Mumbai Bench with the Registrar of Companies, Mumbai in the prescribed e-form INC-28. 2. Accordingly, the Scheme has become effective on 26th November, 2020 and Universal Comfort Products Limited ceased to exist. The Appointed Date for the said Scheme is 1st April, 2019. 3. We request you to take the above information on record as disclosure under Regulation 30 of SEBl (Listing Obligations and Disclosure Requirements) Regulations, 2015.
