Bharat Forge Ltd has informed BSE that a Scheme of Amalgamation under Sections 391 to 394 of the Indian Companies Act, 1956 amongst - BF Infrastructure Ventures Limited (Transferor Company) a wholly owned subsidiary Company of Bharat Forge Limited; and - BF Infrastructure Limited (Transferee Company) a wholly owned subsidiary Company of Bharat Forge Limited; and - their respective Shareholders and Creditors has been filed in the Hon'ble High Court of Bombay. The Appointed date as proposed under the scheme is April 01, 2015. Once the Scheme is sanctioned by the Hon'ble High Court of Bombay and it becomes effective, BF Infrastructure Ventures Limited (Transferor Company) shall stand dissolved without being wound up and amalgamated into BF Infrastructure Limited (Transferee Company) a wholly owned subsidiary Company of Bharat Forge Limited. With reference to the earlier announcement dated October 15, 2015 w.r.t. Scheme of Amalgamation of Subsidiary Companies viz. BF infrastructure Ventures Limited and BF Infrastructure Limited, Bharat Forge Ltd has informed BSE that the Hon'ble High Court of Bombay has vide its order sanctioned the Scheme of Amalgamation of BF Infrastructure Ventures Limited into BF Infrastructure Limited and their respective shareholders and creditors.
