Composite Scheme of Arrangement and Amalgamation of Anik industries Pvt Ltd (Anik) and General Foods Ltd ('GFL') and Madhya Pradesh Glychem Industries Ltd ('MPGIL') and Ruchi Health Foods Ltd ('RHFL') and Ruchi Pvt Ltd ('RPL') and Nutrela Marketing Pvt Ltd ('NMPL') and the Company and their respective shareholders envisaging the following: - Demerger of Leasing Business of RPL into NMPL. - Transfer of the Soya Processing, Vegetable Oils and Fats and Food Businesses (other than dairy business) ('SVF') of MPGIL to the Company. - Merger of Anik with MPGIL; and - Amalgamation of GFL, RHFL and RPL into the Company. (As Per BSE Bulletin Dated on 12/07/2006) Ruchi Soya Industries Ltd. has informed the Exchange that the shareholders of the Company on the January 25, 2006, had approved the following Schemes:- (1) Composite Scheme of Arrangement and Amalgamation of Anik Industries Private Limited ('Anik') and General Foods Limited ('GFL') and Madhya Pradesh Glychem Industries Limited ('MPGIL') and Ruchi Health Foods Limited ('RHFL') and Ruchi Private Limited ('RPL') and Nutrela Marketing Private Limited ('NMPL') and Ruchi Soya Industries Limited ('RSIL' or 'the Company') and their respective shareholders, entailing the following: (i) Transfer of Soya Processing, Vegetable Oils & Fats and Food Businesses (other than dairy business) (SVF business) of MPGIL to the Company. (ii) Demerger of leasing business of RPL into NMPL. (iii) Merger of residual RPL into RSIL. (iv) Merger of Anik into MPGIL, and (v) Merger of GFL and RHFL with the Company. (hereinafter referred to as 'Scheme I'). (As per NSE Bulletin dated on 30/08/2006) Ruchi Soya Industries Ltd has informed BSE that the management of the Ruchi Group (the Group) had proposed consolidation of similar businesses of the Group. Accordingly, three Schemes of Arrangement and Amalgamation entailing consolidation of ten companies of the Group whereby the Soya Processing, Vegetable Oils & Fats and Food Businesses (other than dairy business) (SVF Business) carried on by eight companies of the Group was to be consolidated into the Company. Two of the three Schemes have been completed and approval of the jurisdictional High Court has been obtained. The said two Schemes have been made effective on September 04, 2006 and accordingly the SVF Business carried on by seven companies of the Group has been consolidated into the Company. As regards the third Scheme, the Company still awaits approval of the jurisdictional High Courts i.e., Hon'ble High Court of Bombay and Delhi.
