Oricon Enterprises Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 13, 2016, inter alia, has considered and approved, subject to the approval of the Shareholders, Creditors, Hon'ble High Court of Bombay, and other Regulatory Authorities as may be necessary, Amalgamation of Oricon Properties Private Limited and Oriental Containers Limited, the wholly owned subsidiaries of the Company with the Company under Sections 391 to 394 of the Companies Act, 1956, The Appointed date for Amalgamation is April 01, 2016. Oricon Enterprises Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 14, 2016, inter alia, has: 1. Approved the Scheme of Amalgamation of Oriental Containers Limited (OCL) and Oricon Properties Private Limited (OPPL) (wholly owned subsidiaries of the Company) with partial modification of Appointed date in case of OPPL to July 01, 2016 instead of April 01, 2016. (As Per BSE Announcement Dated on 15.11.2016) Oricon Enterprises Ltd has informed BSE that the Board of Directors of the Company at its meeting held on February 01, 2017, had subject to approval of various authorities approved the Scheme of Amalgamation between Oriental Containers Limited (the First Transferor Company) and Oricon Properties Private Limited (the Second Transferor Company) with Orcion Enterprises Limited (the Transferee Company). However due to business exigency the Board of Directors at their meeting held on February 01, 2017 has re-considered/ evaluated the earlier decision relating to Scheme of Amalgamation and decided to withdraw Oriental Containers Limited from the said Scheme of Amalgamation. The Board of Directors has now subject to approval of various authorities decided to amalgamate Oricon Properties Private Limited with Oricon Enterprises Limited. Oricon Enterprises Ltd has informed BSE that the Board of Directors of the Company at their meeting held on February 01, 2017, has re-considered/ evaluated the earlier decision relating to Scheme of Amalgamation and decided to withdraw Oriental Containers Limited from the said Scheme of Amalgamation. The Board of Directors has now subject to approval of various authorities decided to amalgamate Oricon Properties Private Limited with Oricon Enterprises Limited. Further company shall file in due course of time, the new scheme of Amalgamation of Oricon Properties Private Limited, the wholly owned Subsidiary Company (the transferor Company) with Oricon Enterprises Limited, the Holding Company, (the Transferee Company).
