The requisite information pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CFD/DIL3/CIR/2017/21 dated March 10, 2017 is enclosed herewith. You are requested to take the same on record. This is to inform you that the Mumbai Bench of Hon'ble National Company Law Tribunal (NCLT) vide its order dated 21st February, 2019, has approved the Scheme of Arrangement between Scal Services Limited ('SCAL' or 'Demerged Company') and The Bombay Dyeing and Manufacturing Company Limited ('BDMCL' or 'Resulting Company') and their respective Shareholders ('Scheme') with effect from the Appointed Date of 1st July, 2018, pursuant to Section 230 to 232 and other applicable provisions of the Companies Act, 2013.
