Tata Motors Limited was initially incorporated as Tata Motors Commercial Vehicles Limited on June 23, 2024 as a public limited company with the Registrar of Companies, Mumbai. Pursuant to the Scheme, fresh certificate of incorporation for change of name 'TML Commercial Vehicles Limited' to 'Tata Motors Limited' was issued by Registrar of Companies on October 29, 2025.
Prior to the Scheme becoming effective, Company was a wholly owned subsidiary of Tata Motors Limited. The Company was incorporated with the main object of our Company is to carry on the business of design, development, manufacturing and sale of commercial vehicles.
As per Composite Scheme of Arrangement between the Company, Tata Motors Passenger Vehicles Limited (TMPVL), Tata Motors Commercial Vehicles Ltd. (TMLCVL) and their respective shareholders was implemented in FY 2025, where, the Commercial Vehicle (CV) Business has been demerged from the Passenger Vehicles Business into a new entity, Tata Motors Commercial Vehicles Ltd. (TMLCV), as a going concern, w.e..f. July 1, 2025 and the Scheme of Demerger became effective from October 1, 2025.
After the demerger was completed, 3,68,23,31,373 equity shares of face value of Rs 2 each were issued by the Company pursuant to the Composite Scheme of Arrangement. Commercial Vehicle Business is one of India's leading CV manufacturers offering a wide range of products and services portfolio catering to cargo and public mobility segments. It is engaged in the business of design, development, manufacturing and distribution of commercial vehicles (SCVs and Pickups, Medium and Heavy Commercial Vehicles, Intermediate and Light
Commercial Vehicles and CV Passenger Vehicles) manufactured under the Tata and Daewoo brands along with associated service, spare parts, digital and other related businesses.
In FY 2025-26, TMF Holdings Limited and TMF Business Services Limited have been amalgamated with the Company through the Scheme of Amalgamation. Pursuant to the Composite Scheme of Arrangement, the Company accepted the transfer of the outstanding Non-Convertible Debentures aggregating to Rs 2300 crore, together with all rights, obligations and liabilities from the Demerged Company viz. Tata Motors Passenger Vehicles Limited (Formerly Tata Motors Limited).
The Company acquired 26% stake in Traveltime E-Mobility Chennai Private Limited (TECPL) by TML Smart City Mobility Solutions Limited, a Wholly Owned Subsidiary (WOS) of the Company on January 12, 2026 and TECPL became an associate of the Company in FY26. AIEQU Mobility Limited was incorporated on January 19, 2026 as a WOS of the Company.
